AbstractAfterrapiddevelopmentofmorethan30yearsfromthereformandopeningup,China’ssoutheastcoastalareasarefacingthestructuralbottlenecksofregionaleconomictransformationandupgradingrightnow.Inorderingtosolvethisproblem,thispaperconstructsathreedimensionalevolvingmodelofregionaleconomydevelopment,manufacturingupgradingandvaluechainappreciation,andpointsoutthatafterexperiencedthelabor,capitalandtechnologydriveneconomy,thenextupgradingincentiveeffectshouldbeinstitution,regionaleconomyshouldfocusonstrategicdecisionmakingcenter,andthekeyvalueaddedsectoroftheenterprisewillbethedecisionmakingmanagement.Andforthereasonthattheexistinggrowthmodelsdonotcontaintheinstitutionalfactorsasendogenouselements,thispaperconstructsagrowthmodelwhichcontainstheinstituionfactorsintothesystem,andusesthesimulationmethodtopointoutthatwhentheelasticityofcapitaloutput,thesavingrateandtheeffectivedepreciationrateareidentical；intheequilibriumstate,thecapitalstockpercapitaoftheinstitutionpromotedenvironmentisthreetimeslargerthanthatoftheinstitutionsuppressedenvironment,andtherealoutputofeconomyisfivefold,thusconfirmsthekeyroleofinstitustionalelementtorealeconomy.Finally,learningfromtheforeignexperiences,andconsideringthedifferenceandresistanceamongthenational,industrialandcorporationalinstitutionsystems,thispaperpromotestheincentivesystemsforindustrialupgrading,regionaleconomicdevelopmentandcorporatevalueappreciation.Forexample,atthemacroleveltheincentivepoliciesincludethegovernmentprocurementtopromotinghighlevelindustrialdevelopment,publicfinancialsupporttingtoenterprise’sglobalmergersandacquisitions,specialresearchfundservicesforindustrialtransformationandupgrading,legalandforeignpolicyprotection；atthemesolevel,thatcontainsindustryfinancialsupports,integratedserviceplatform,cultureofinnovation,personneltrainingandotherpublicutilitiestoprovideindustrialenvironment；andatthemicrolevel,themechnismscontainthatcontrollingtheworkcorevalues,integratingresourcestoenhancethevaluechain,andpromotingoperationalcontroltoshapeleansupplychain.Wehopethisincentivesystemcanprovidesomereferencetotherelevantpoliciesdecisionandtopleveldesign.
