股东,管理和债权人三者的利益动机及分配关系,得出了股利分配代理成本理论.本文在借鉴国外股利分配政策理论,方法的基础上,采用实证分析与规范分析相结合的研究方法,总结出现阶段我国股利分配政策的特点,得出了股利分配政策影响因素的实证分析结果,希望有利于理论研究和实务操作.
本文由四部分组成.其主要内容如下:
第一部分主要阐述了上市公司股利分配政策的有关理论.首先介绍了股利相关论和股利无关论.前者认为股利分配政策不会对公司的股票价格产生任何影响,而后者则认为公司的股利分配政策会影响到公司的股票价格.其次,分析了制定股利政策的影响同素,包括法律性因素,契约性同素,契约性同素,公百内部同素,付方式主要有现金股利和股票股利,股利政策类型主要包括剩余股利政策,固定股利支付率股利政策和低正常股利加额外股利政策.通过对上述四种股利支付政策的分析,本文得出了不存在适用于所有公司的理想股利支付政策及初始股利支付水平确定的重要性的结论,第二部分是关于我国上市公司股利分配政策的分析,通过对沪深两地上市公司近三年来分配情况的描述性统计分析,并与国外上市公司股利分配政策特点的对分析,采用大量数据,图表等形式,揭示出我国上市公司股利分配的特点,包括上市公司存在严重不分配倾向,分配方式多样化,将配股也视作利润分配,股本扩张迅速,上市公司留用的现金和配股现金投向了甚明了,股利分配政策缺乏连续性等.
第三部分是对我国上市公司股利分配政策影响因素的实证分析.这部分主要运用数理统计的方法,设计出相应的自变量,因变量和模型,进有统计分析,找出我国市公司股利分配政策主要影响因素,得出了下列结论:我国上市公司股利分配政策主要受盈利能力,支付能力,成长能力,股本扩张能力,资产负债率,代理成本,股本规模.股权结构等因素的影响,实证结果支持股利信号传递理论和代理成本理论.同时,盈利能力,支付能力,股本规模与股利支付水平正相关,资产负债率,成长性,股本扩张能力与股利支付水平负相关,国有股,法人股控股比例越大,内部人控制程度越强,股利支付水平越低:反之,则股利支付水平越高.
第四部分是综合上述理论分析与实证分析的结果,得出一些有益的启示和建议,希望在深入研究公司财务理论,规范并指导上市公司股利政策的实践方面有一定积极的作用.

Abstract
Dividend policy is a decision for listed pany how to distributeits controllable ine. Dividend policy is an important content of corporate finance. It not only is an allocation of corporate profits, but also relates to corporate investment decision, capital structure and the price of astock. So, it is important to make an advisable dividend policy. But dividend policy is viewed as dividend puzzle. One hand ,it is necessary to corporation for retained earnings, on the other hand, dividend is return for stockholders. How to make a correct dividend policy, which what funds flow to investors and what funds flow are retained by the firm for reinvestment, is a difficult issue for corporate managers, it is also one of unresolved financial theories issues.
In west, there is not a generally accepted opinion, though there are much theoretical and empirical evidence, there are two theories: Dividend policy is relevant, vintner study dividend policy about dividend signaling by positive research, Jensen and Meckling created agency cost theory, they provide and analysis of the affects of agency conflicts among corporate, tockholders, corporate managers and creditor, they suggest that management stock ownership can reduce agency cost by aligning their interests, with shareholder' s interest.
This thesis is based on foreign dividend policy theories and methods. It analyzes and ot,dies the Chinese listed pany' s dividend policy deeply by the methods of positive analysis and normative analysis, and then we get the characteristics of our listed pany' s dividend policy and the positive results of the dividend policy influential factor.
This thesis consists of four chapters. Its main contents are:
Chapter 1 deals with the theories on listed pany' s dividend policy, irstly,dividend irrelevance and dividend relevance are introduced.Secondly, the influencing factors of dividend policy are analyzed. These include restriction of law, indenture restriction, businese operation restriction, shareholders' preference holders' ponent. Thirdly, the type of dividend and the choice of dividend policy are argued. The most mon types of dividend policy are cash dividend and stock dividend. Dividend policy includes residual dividend policy, steadily dividend policy, steadily rate of dividend payment and low regular dividend plus extras' We can get following results by analyzing four different dividend policies' there does not exist and ideal dividend policy for every firm and the initial dividend policy is most important when corporation begin make its dividend policy.

In chapter 2, we analyze listed pany' s dividend policy at the present time in shanghai and shenzen securities market, and pare it between china and foreign countries, we point out the nature of china listed pany' s dividend policy at last.
We do positive analysis of influencing factor of coany' s dividend policy in chapter 3. the dissertation builds the models of corporation's dividend decisions for further exploration, finding the key factors in our listed pany' s dividend decision by statistic methods. The last conclusions are: positive results support the important signaling theory and agency cost theory, a significant positive relationship is found between dividend per share and corporation' s profitability, payment and pany' s size, a significant negative relationship between dividend per share and liability-to-asset, percentage, growth and enlarge of pany and independent.
Chapter 4 is about some conclusions and advices. I hope can take active in listed pany' s theory and practice.

我国上市公司股利分配政策研究

(一)课题研究意义
股利即是上市公司对股东的回报.股利分放股利,发放多少股利以及何时发放股利等方面的方针和策略.股利政策实施的终极目标是如何使股东财富最大化,就股利政策本身而言,并无孰优孰劣之分,在选,择是否采取现金股利,股票股利或是盈利保留等分配方案时,某种方案若能使公司股票市场价值最大化,从而使股东财富最大化,则该种股利决策为最佳分配决策.股利分配政荒作为公司财务管理的一项重要内容,它不仅仅是对公司收益的分配,而且关系到公司的投资决策,资本结构及股票价格等各个方面,因此,制定一个合理的,稳定的股利政策是非常重要的.
然而股利分配政策又是被称为"红利团惑"的财务难题.因为一定量的内部留存收益是保证公司长期发展的重要资金来源,而股利则为股东提供当期收入,股东对股利的不同偏好直接影响公司未来的股票价格,从而影响公司的发展,因此,如何将公司实现的收益在股东和内部留存之间进行合理分配,以制定—个合理的股利政策,使股利的发放与公司的未来持续发展相适应,并使公司股票价格稳中有升,便成了公司管理阶层难以处理的实际问题,也一直是中国证券市场发展十多年来财务理论的热点问题之一.
从市场角度看,由于我国证券市场是在中国经济开始高速发展的90年代初建立的,中国经济的高速增长以及证券市场的过小规模与巨大需求间的反差,导致了证券市场市盈串及股价均长时间的维持在较高水平,而与之相比的公司派息水平则显得微不是道,长期以来,我国上市公司的股利分配多采用大比例送股,配股等殷本扩张的方式进行,但是近两年来,上市公司却有严重的:不分配倾向,而且不分配现象愈演愈烈.上市公司股利分配变动较大,缺乏应有的连续性和稳定性,这些都产生了不少消极的效应,因此,建立良好的股利分配机制对企业和票市场的健康发展有着重要而紧迫的现实意义.
